MB-R flow-down terms

1. The Client accepts that the Deliverables include certain third party data supplied by Michael Bauer Research GmbH, Fürther Straße 27, 90429 Nürnberg, Germany (the “Third Party Data”).
2. The Client acknowledges and agrees that (i) there shall be no updates to the Third Party Data, (ii) the Third Party Data is provided to the Client “as is” and without any warranty as to its accuracy or otherwise, and (iii) CACI shall have no liability to the Client in relation to the Third Party Data.
3. In addition, in relation to the Third Party Data, the Client agrees (i) not to remove or obscure any copyright or other proprietary notice, (ii) not to distribute or transfer it, (iii) not to modify it or create any derivative works or products, and (iv) where CACI delivers the Third Party Data to the Client in raw data form, that the Client’s use thereof shall be limited to the number of workplaces or users in a network within the Client’s company as shown in the table at 4.1, above.
