Annex 1: Third Party Supplier Terms

LICENCE TO USE ISLE OF MAN SPATIAL DATA PRODUCTS ON ELECTRONIC EQUIPMENT
The organisation identified in Schedule A as “the Client” (hereinafter called the ‘Licensee’) is hereby authorised by the Cabinet Office (hereinafter called the ‘Data Provider’) to use Isle of Man Spatial Data Products on electronic equipment subject to the Conditions set out in this Licence.
CONDITIONS OF LICENCE
PERMITTED USE
1 This Licence authorises the Licensee to use the Isle of Man Spatial Data Products listed herein on electronic equipment within its own offices for internal business use only: Spatial Data Products: Isle of Man postcode centroid database
2 Permission includes:
- Accessing the specified Isle of Man Spatial Data products on up to xxx terminal(s) within the Licensee’s own offices.
- Creation of a reasonable number of copies in electronic form or on magnetic or other storage media for backup purposes only.
3 Permission does NOT include
- the creation of hard copies on paper, film or other permanent visual material from Isle of Man Spatial Data Products.
- the inclusion of Isle of Man Spatial Data products in products to be supplied to, or accessed by, a Third Party whether or not a charge is to be levied except as otherwise authorised in writing by the Data Provider.
- The inclusion of Isle of Man Spatial Data Products in applications which can be accessed by other organisations or by the public except as otherwise authorised in writing by the Data Provider
SECURITY OF DATA
- It is the responsibility of the Licensee to ensure that all Isle of Man Spatial Data products held by the Licensee are held securely and that no unauthorised access or use is made of that data.
- The Licensee will keep the details used to access the Secure FTP Channel referred to in Clause 9 secure and not disclose them to any Third Party except as expressly agreed by the Data Provider.
ACCURACY
- Whilst every effort is made to ensure the data is kept accurate and up to date, the Data Provider does not warrant the accuracy or completeness of the data, nor does it warrant that the data will meet the requirements of the Licensee.
- If the Licensee notifies the Data Provider of any errors or omissions the Data Provider will correct these within a reasonable timescale subject to compliance with the relevant data standards.
LIABILITY
- The Data Provider shall not be liable for loss of profits, loss of data, loss of revenue, loss of business or contracts or any indirect or consequential loss or damage whatsoever.
UPDATES
- Updates to the Spatial Data Product(s) will be supplied to the Licensee by the Data Provider every 3 months during the term of the Licence via a Secure FTP Channel.
TERM AND RENEWAL
10 The Initial Term of this Licence shall be one year commencing on the date of this Agreement
11 Unless the Licence has been otherwise terminated it will automatically renew at the end of the Initial Term and then annually thereafter unless either party terminates this contract with effect from the expiry of the Initial Term or any subsequent annual renewal date by serving at least 30 days’ prior written notice on the other.
PAYMENT
12 The Data Provider will issue an invoice on the date of the Agreement and on each subsequent renewal date unless the Licence is terminated in accordance with Clause 11
13 The invoice shall be payable within 30 days of being issued
REVIEW OF LICENCE
14 The conditions of this Licence may be reviewed at a future date. The Data Provider reserves the right to amend the terms or to withdraw the Licence at any time.
OBSERVANCE OF CONDITIONS
- The Licensee shall, at any reasonable time, grant to an accredited representative of the Data Provider, facilities for checking the observance of the conditions of this Licence.
GOVERNING LAW
- This Licence shall be governed by and construed in accordance with the laws of the Isle of Man and shall be subject to the jurisdiction of the Courts of the Isle of Man.
